Software License Agreement

USE OF THE SOFTWARE YOU ARE ABOUT TO INSTALL IS GOVERNED BY THE TERMS OF THIS END USER LICENSE AGREEMENT (EULA OR LICENSE AGREEMENT). BEFORE DOWNLOADING AND INSTALLING THIS SOFTWARE YOU SHOULD CAREFULLY READ THE TERMS AND CONDITIONS OF THIS END USER LICENSE AGREEMENT. BY DOWNLOADING THE SOFTWARE AND/OR USING THE SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY AND ARE BECOMING PARTY TO THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, PRESS THE "DO NOT ACCEPT " BUTTON AT THE INSTALLATION PROCESS , DO NOT COPY, DO NOT USE THIS SOFTWARE AND RETURN THE WHOLE PACKAGE TO pi-SYSTEMS WITHIN 20 DAYS OF THE TIME THAT YOU RECEIVED THE PACKAGE.

1. Grant of License.
Pi- SYSTEMS reserves all rights not expressly granted to you in this EULA. Subject to the terms and conditions set forth in this software license agreement, pi-SYSTEMS grants to you, and you hereby accept, a non-exclusive, non-transferable license to use its proprietary computer software program only on your premises, together with its documentation ("Software"), limited by the number of users, number of computers, and pi-SYSTEMS products for which the corresponding fee has been paid.
After downloading the Software, you may not: (1) copy (other than once for backup purposes), distribute, rent, lease, sublease, or sublicense all or any portion of the Software; (2) modify or prepare derivative works of the Software; (3) transmit the Software over a network, by telephone, or electronically using any means; (4) reverse engineer, decompile, or disassemble the Software; or (5) provide commercial services based on the Software. You agree to keep confidential and use your best efforts to prevent and protect the contents of the Software from unauthorized disclosure or use. You are responsible for the installation, management, operation, and results obtained from the Software.

2. Passwords.
After downloading this software, you have the ability to run this software for limited time period and if used for evaluation purposes, may also limit the overall functionality of Software. In case of purchasing this software you will be provided with a permanent password that enables the Software to run on your computer as listed on your purchase order or pi-SYSTEMS' sales order or invoice to use the Software.
pi-SYSTEMS, at its discretion, may initially provide temporary passwords, and provide permanent passwords after payment for the Software has been received in full. For evaluation purposes, pi-SYSTEMS may provide temporary passwords at its discretion. Upon receipt of payment, pi-SYSTEMS shall provide you with one or more permanent passwords as listed on your purchase order or pi-SYSTEMS' sales order or invoice in order to use the Software.
Temporary passwords will cause the Software to stop working after the date specified in the passwords provided by pi-SYSTEMS, and as such, you may not rely on the Software. Pi- pi-SYSTEMS assumes no liability for failure of the Software after the expiration date as specified in the password. The entire risk of use and the consequences of use of the evaluation copy of Software fall completely on you.

3. Copyright and Title.
You acknowledge that Software, all user's manuals, and other supporting documentation constitute valuable property of pi-SYSTEMS and that all title and ownership rights in Software and related materials remain exclusively with pi-SYSTEMS. pi-SYSTEMS reserves all rights with respect to Software and supporting documentation under all applicable laws for the protection of proprietary information, including, but not limited to, trade secrets, copyrights, trademarks, and patents. Except as otherwise noted in this Agreement, you shall not cause or permit unauthorized copying, reproduction, or disclosure of any portion of the program, or any instructions, manuals, or other documentation, or the delivery or distribution of any part thereof to any third person or entity, for any purpose whatsoever, without the prior written permission of pi-SYSTEMS. You may not reverse engineer, decompile, disassemble, or otherwise analyze the Software, or knowingly allow others to do so. You also agree not to develop passwords or codes or to determine how pi-SYSTEMS develops such passwords, or knowingly allow others to do so.

4. Termination.
This License Agreement is effective upon downloading the Software onto your system and/or using the Software and shall continue until terminated.
You may terminate this License Agreement at any time by returning the Software and all copies thereof to pi-SYSTEMS and erasing all copies residing on the computer equipment.
pi-SYSTEMS may terminate this License Agreement upon the breach by you of any term or condition of this Agreement. Upon such termination by pi-SYSTEMS, you shall return to pi-SYSTEMS the Software and all copies thereof and erasing all copies residing on the computer equipment within 20 days.

5. Limited Warranty.
You accept Software "AS IS", "WITH ALL FAULTS", and in lieu of all other warranties and conditions, expressed or implied, including, but not limited to, those for merchantability and fitness for a particular purpose. pi-SYSTEMS accepts no responsibility for the operation or performance of the program. The entire risk of use and consequences of use of the program falls completely on you and pi-SYSTEMS shall not be liable in any respect for any loss claims or injury alleged to have resulted from use of or in reliance on Software. In this respect, you shall indemnify and defend against any and all claims, including claims by third parties or by your employees, which arise directly or indirectly out of your use or operation of Software.

6. Limitation of Liability.
pi-SYSTEMS 'cumulative liability to you or any other party for any loss or damages resulting from any claims, demands, or actions arising out of or relating to this License Agreement shall not exceed the license fee paid to pi-SYSTEMS for the use of the Software. In no event shall pi-SYSTEMS be liable for any damages whatsoever (including, but not limited to, loss of profit, business interruption, loss of business information, or any other commercial, special, incidental, consequential, exemplary or other damages) arising out of the use of or inability to use the Software, even if pi-SYSTEMS has been advised of the possibility of such damages. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

7. Governing Law.
This Agreement shall be construed, interpreted, and governed in accordance with the laws of intelligent property copyright (c) 1996-2008 pi-SYSTEMS International S.A.

8. Trial, Demonstration Software.
If the product you have received with this license is a trial or demonstration copy of the Software ("Trial Software"), then the following Section applies until such time that you purchase a license to the full retail version of such product. To the extent that any provision in this Section is in conflict with any other term or condition in this Agreement, this Section shall supersede such other term(s) and condition(s) with respect to the Trial Software, but only to the extent necessary to resolve the conflict. YOU ACKNOWLEDGE THAT THE TRYOUT SOFTWARE CONTAINS LIMITED FUNCTIONALITY AND/OR FUNCTIONS FOR A LIMITED PERIOD OF TIME. Pi-SYSTEMS IS LICENSING THE SOFTWARE ON AN "AS IS" BASIS, SOLELY AS A DEMONSTRATION MODEL. If the Trial Software is a timeout version, then the program will terminate operations after a designated period of time (e.g. 15 or 30 days) following installation (the "Time Out Date"). Upon such Time Out Date, the license hereunder shall be terminated. You acknowledge that such Trial Software shall cease operation upon the Time Out Date and accordingly, access to any files or output created with such Trial Software or any product associated with the Trial Software is done entirely at your own risk. Pi-SYSTEMS DISCLAIMS ANY WARRANTY OR LIABILITY OBLIGATIONS TO YOU OF ANY KIND, INCLUDING. WHERE LEGALLY LIABILITY CANNOT BE EXCLUDED FOR PRE-RELEASE SOFTWARE, BUT IT MAY BE LIMITED, Pi-SYSTEMS' LIABILITY AND THAT OF ITS SUPPLIERS SHALL BE LIMITED TO THE SUM OF TEN Euro (EUR 10) IN TOTAL.

The user of this software package should be completely confident about the legitimacy of the inputted data as well as the calculation results and is therefore the only one responsible for their validity.
